By creating an account, accessing our website, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Description of Service

CommerceWeave provides an ERP-native B2B commerce platform designed for distributors, manufacturers, and wholesalers. Our Services include the CommerceWeave platform, integrations with enterprise resource planning systems, headless commerce APIs, AI-assisted configuration tools, and related documentation, support, and professional services. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

User Accounts

To access certain features of the Services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You must notify us immediately of any unauthorized use of your account.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services to violate any applicable law or regulation; infringe upon the intellectual property rights of others; transmit malicious code, viruses, or harmful data; attempt to gain unauthorized access to our systems or other users' accounts; interfere with or disrupt the integrity or performance of the Services; or engage in any activity that is fraudulent, deceptive, or harmful to CommerceWeave or other users.

Intellectual Property

The Services, including all content, features, functionality, software, and documentation, are owned by CommerceWeave and are protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

Payment Terms

If you subscribe to a paid plan, you agree to pay all fees associated with your selected subscription tier. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law or as expressly stated in your service agreement. We reserve the right to change our pricing with 30 days' prior notice. Failure to pay may result in suspension or termination of your access to the Services.

Limitation of Liability

To the maximum extent permitted by applicable law, CommerceWeave shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Services; any unauthorized access to or alteration of your data; or any other matter relating to the Services. Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless CommerceWeave, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to CommerceWeave, other users, or third parties. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in effect.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Travis County, Texas, and you consent to the personal jurisdiction of such courts.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
